NOTICE OF ANNUAL MEETING

OF THE

WINDSTAR ON NAPLES BAY

MASTER ASSOCIATION, INC.

TO ALL OWNERS:

YOU ARE HEREBY NOTIFIED that the Annual Meeting of the Unit Owners of Windstar on Naples Bay Master Association, Inc., is scheduled for the 25th day of March, 2024, at 3:00 P.M., in the Dining Room at the Windstar Club, 1700 Windstar Blvd., Naples, FL 34112 and via Zoom. The Annual Meeting of the Association will be held for the purpose of conducting the lawful business of the Association. An identification of agenda items is as follows.

· Determination of Quorum - Call to Order

· Proof of Notice of Meeting

· Approval of Minutes of the last Unit Owners meeting

· Reports of Officers

· Committee Reports

· Election Results*

· Adjournment

Thirty three percent (33%) of all Association Members (a "quorum") must be present, in person or by proxy at the meeting, in order for the business to be conducted. It is VERY IMPORTANT that you either attend or provide a proxy in order for any vote taken at this Annual Meeting to be binding. DID YOU GET THE OPT IN / REGISTRATION EMAIL (sent on March 6th)? You can submit your proxy online – contact the Windstar Master Association, if you did not get the email or require a paper proxy.

NOTE: An organizational meeting of the Board of Directors will be held immediately following adjournment of the annual meeting for the purpose of electing officers, setting the date(s) of future meetings and such other business as may lawfully be conducted. If it is not held at that time, the organizational meeting must be held within ten (10) days and the directors present at the annual meeting shall decide the time and place, in which case notice will be given through further posting.

* In the 2024 Master Association Board election, there were two seats available and only two candidates (Ms. Kraus and Ms. Denis) declared their intent to run for election during our Intent-to-Run period. Florida Statutes and our Documents do not require an Election in this circumstance.

ELECTRONIC PROXIES EMAILED

You may recall our Documents allow online Notice & Voting now. This reduces cost and makes submitting a ballot, proxy/quorum as easy as a few clicks.

We emailed the Meeting Opt In/Registration to the primary email for each Unit on Wednesday March 6th. This allows you to submit your Proxy & count to a Quorum. (no ballot this year)

If you did not receive the Opt-In email follow these steps:

Contact the Master at mitch@windstarmaster.com to confirm your primary contact email.
Check your junk/spam folder, or check with your spouse's email.
Check your email security settings and add our voting site email address to their safe sender list: windstaronnaplesbay@ivotehoa.com
Check with your email service provider or IT department to get the messages released

If you prefer a paper Proxy, over the above process, please contact the Windstar on Naples Bay Master Association to have one mailed or set aside for you here at the Club, or you can download here (printable PDF). Once complete please return to the Windstar on Naples Bay Master Association before March 24th, 2023.
