Company Beneficial Owner Federal Disclosure Requirement - Affecting Almost All Companies in the U.S.

Starting January 1, 2024, all companies, with limited exemptions, incorporated and will incorporate in the United States are required to report their Beneficial Ownership Information (BOI) with a US federal agency, Financial Crimes Enforcement Network of United States Department of Treasurer (FINCEN) . The definition of Beneficial Owner is broader than shareholders. If your company's shareholder is another company or a combination of companies and natural persons, or the next layer of shareholders are the similar structure, whether US domestic or foreign, you will most likely need legal assistance to determine who are BOI that need to be reported. Violation of this mandatory disclosure has civil and criminal consequences. If you would like to learn more about this regulation and the service that Lion's Law can provide to your company, click here to read the article, or you may directly contact Jing Liu by email jing.liu@lionslawgroup.com.
