Second and final “Board Size Reduction and Bylaws Amendments Forum”
Session II, Sun Feb 6, 11:30am
Zoom 6161, Phone (audio only): 929-436-2866, Meeting ID: 616 163 6161, Passcode: 468468

On behalf of the Board of Trustees, I am calling for a special meeting of the congregation on Sun Feb 27, 2022, immediately following the online worship service. The business of the special meeting is to conduct voting on proposed amendments to certain CUUC Bylaws, primarily focused on a reduction in the size of the Board of Trustees from eleven voting members to seven. In addition, the congregation will vote on amendments to the Bylaws necessitated by this action, along with routine revisions to other outdated Bylaw language.

At the Wed Jan 12, 2022, monthly Board of Trustees meeting, the Board moved to call a special meeting as outlined above. As a result, we are pleased to bring this matter to the congregation for its consideration and approval.

We will conduct a second and final “Board Size Reduction and Bylaws Amendments Forum” session via Zoom on Sun Feb 6 at 11:30am. The session will be moderated by Nicky Klemens, Secretary, and Joe Majsak, Board Chair.  The first Forum was conducted on Sun Dec 12, 2021.

Article ll, section 7 of our Bylaws states that twenty-five percent of eligible voters shall constitute a quorum for the business of this special meeting. Article VIII states that our Bylaws may be amended by a three-fourths vote of the qualified voters present at a special meeting called for that purpose.

Closing Comments
Over the last 12 months CUUC’s Board of Trustees has been on a path to reduce the size of the Board of Trustees from 11 to 7 voting members for a number of common-sense reasons. The announcement of the minister’s intention to retire in June 2023 has accelerated those efforts, as additional demands for members to serve on a number of committees associated with a ministerial transition (Search Committee, Congregation Self-Assessment Committee, etc.) will occur. In order to ensure the very best candidates possible for both the Board of Trustees and other critical committees, including ministerial transition teams, a reduction in Board size makes good sense for a congregation of our size.

Please exercise the privilege of your congregational vote on Sun Feb 27. Thank you.

Joe Majsak, Chair, CUUC Board of Trustees
