Bylaw Changes

In order to reach the largest number of members possible, we will utilize proxy voting. Proxy ballots will be sent to the email on file. Please verify your email is correct. Voting will open Saturday, 1/2/2021, at 8:00 am and will continue until Thursday, 1/7/2021, at 6:00 pm. Members attending the meeting in person should arrive early to register and receive the voting paddle.

All 5 proposals must have a response in order to submit the electronic ballot.

  1. Proposal 1 - A new bylaw document to replace the current bylaws document. This was compiled by Foley & Lardner law firm to help clear up some of the vagueness and bring our bylaws into compliance with Texas Business Organization Code.
  2. Proposal 2 - Adds additional qualifications and vetting for the Treasurer position.
  3. Proposal 3 - Provides for special election to fill vacancies on the board except for the president. Our current bylaws allows the president and board to fill vacancies. The proposed bylaws combines appointment by the president and board and special election to fill vacancies depending on the length of term remaining for the vacated position. All provisions allow for vacancies in the president position to be filled by the vice president.
  4. Proposal 4 - Adds the ability for a member who has been suspended for 2 years for disciplinary reasons to re-apply for membership.
  5. Proposal 5 - Removes the restriction that prevents terminated members from cooking IBCA sanctioned events.

Proposal 1 is voting on the document as a whole. We cannot extrapulate portions of the proposed document for approval at this meeting.

Proposals 2-5 are independent proposals. Any of the approved proposals 2-5 will be incorporated into the approved bylaw document. If Proposal 1 is rejected, approved Proposals 2-5 will be added to our current bylaws. If Proposal 1 is approved, the approved Proposals 2-5 would be included in the new bylaws.

Be sure to read the full proposed bylaw document and ask questions of any board member before deciding on Proposals 2-5. The board worked extensively together to along with Mike Seely and the law firm staff to put together a comprehensive document.
