Minor changes made to bylaws

Dean Ridings, CEO | America's Newspapers

During its meeting in Chicago, the America's Newspapers board of directors approved minor changes to the bylaws that had been recommended by the Nominations and Governance Committee. The approved changes are:

  1. Remove the stipulation that the Treasurer serves concurrently as the chair of the Finance and Audit Committee.
  2. Provide the Executive Committee the full authority to evaluate and determine the compensation of the CEO.
  3. Remove the limitation on the number of members of the Finance and Audit Committee.

The proposed changes previously had been announced to the membership in the Sept. 8 issue of the America's Newspapers newsletter, with no objections voiced by members.
