Addressing the SEC’s New Cybersecurity Risk Management, Strategy, Governance and Incident Disclosure Requirements

In July 2023, the SEC adopted new cybersecurity rules for the stated purpose of enhancing and standardizing disclosures regarding cybersecurity risk management, strategy, governance and incidents by public companies. The rules were proposed in March 2022, as various factors including the use of digital technologies and artificial intelligence, hybrid work environments, the increase in the use of crypto assets, and the illicit profits from ransomware and stolen data have continued to increase cybersecurity risk. The final rules reflect the SEC’s determination that investors require more substantive and consistent information concerning the cybersecurity risk profile of companies to inform investment decisions. The summary explains the final rule obligations in three areas and provides high-level initial action items to prepare for compliance with the new rules.

The Corporate Transparency Act: Your Questions, Answered

What is the Corporate Transparency Act?
The Corporate Transparency Act was created to provide law enforcement with beneficial ownership information related to specific business entities to detect, prevent, and punish terrorism, money laundering, and other misconduct.
When does the Corporate Transparency Act take effect?
The Corporate Transparency Act will go into effect on January 1, 2024.
Reporting entities created before the end of 2023 will have until January 1, 2025, to file beneficial ownership information. For companies registered after January 1, 2024, the requirement for filing ownership information is 30 days after the proposed registration, but there are proposed regulations that would extend the reporting time to 90 days, with the 30-day reporting period not going into effect until January 1, 2025.

The FCPA has now been with us during four complete decades and two partial decades, and measuring corporate enforcement by looking at the three biggest cases of each decade tells quite a story. There’s the shift from enforcement against U.S. companies to foreign ones. That followed decades when U.S. business leaders complained that the FCPA put them at a disadvantage against foreign competitors who didn’t have FCPA compliance to worry about. And there’s the stunning growth in FCPA penalties.In the 1990’s, companies could measure FCPA risk in single-digit millions or low tens of millions at most. By the 2000’s, FCPA risk jumped to hundreds of millions and in the 2010’s to a billion or more (much more, as early returns for the 2020’s show).

The Corporate Transparency Act: Is Your Business Prepared For Sweeping New Federal Reporting Requirements?

On January 1, 2021, with bipartisan support, Congress enacted the Corporate Transparency Act (“CTA”) as part of the National Defense Authorization Act for Fiscal Year 2021 (“NDAA”) when it overrode former President Trump’s veto of the NDAA. As part of an effort to combat money laundering, the financing of terrorism, and other illicit activities, the CTA requires business entities formed or registered in the United States that fall within the definition of a “reporting company” to disclose beneficial ownership information to the Financial Crimes Enforcement Network (“FinCEN”) of the Department of Treasury. While the purpose of the legislation may be commendable, it casts an extremely wide net and imposes new compliance burdens on businesses beginning in 2024.

Japan ‘stands to lose huge value’ unless it acts on corporate governance

Corporate governance has been a particular hot button issue in Japan for some time, and there is a lot of momentum as reforms move from ideas to actions.
Kathlyn Collins, vice president and head of responsible investing and stewardship at Matthews Asia, has just returned from a week in the country as a delegate of the Japan Working Group of the Asian Corporate Governance Association.
Based on her experience, interest in reforms has broken out beyond corporate governance specialists or activists. “Some domestic asset managers, for example, have put in place more aggressive proxy voting guidelines than ISS, one of the most influential proxy advisors globally,” she says.

On October 4, 2023, Deputy Attorney General Lisa Monaco (DAG Monaco) announced a new U.S. Department of Justice (DOJ) “safe harbor” policy aimed at encouraging voluntary and timely self-disclosures of criminal conduct discovered in connection with mergers and acquisitions (the “Safe Harbor Policy”).1 U.S. enforcement guidance has long made clear the risk of U.S. Foreign Corrupt Practices Act (FCPA) connected successor liability and the DOJ’s baseline expectation as to risk-based M&A due diligence and integration activities. This latest DOJ announcement provides welcome consistency across DOJ components, including with respect to criminal antitrust and sanctions enforcement, with policies like that already applied by DOJ’s FCPA Unit, and builds upon recent efforts to encourage and codify the benefits of voluntary self-disclosure and corporate cooperation, including recent updates to DOJ’s Corporate Enforcement Policy.

In many parts of the world in which commerce is conducted, the difference between a gratuity and a bribe can be difficult to discern. However, the distinction is a critical one. The Foreign Corrupt Practices Act (“FCPA”) – the federal law prohibiting issuers of securities registered on a domestic stock exchange, any company organized under the law of the United States or with its principal place of business in the country and any citizen or resident from bribing foreign government officials to obtain a commercial benefit – makes clear that bribery is a crime with severe repercussions to those that run afoul of its provisions. Nevertheless, it is estimated that the global value of corporate bribery increased to nearly USD1.75 trillion in 2021
