New PA Annual Report Requirements for all PA businesses 2025



Dear friends and colleagues,


Beginning in 2025, the Pennsylvania Department of State (DOS) has instituted a new annual report requirement. All domestic (PA) and foreign (non-PA) based for-profit and non-profit entities doing business within the Commonwealth must file and report basic company information.


This is strictly a state requirement and is separate from the federal Beneficial Ownership Information report that is currently being challenged in the federal courts.

 

The due date depends on the type of entity (corporation, LLC, LP, etc.) and ranges from June 30 through December 31, 2025. The DOS has stated that it will notify entities via email or postcard before their respective deadline. 


Although due dates are later in the year, online filing has begun as of Monday 1/6/25. Filing must be done electronically and requires payment of a $7 fee ($0 for nonprofits.)
