Notice of the CanSIA Special Meeting Regarding the CanSIA/CanWEA Amalgamation and the Annual General Meeting of Members
Notice is therefore and hereby given of the CanSIA Special Meeting and Annual General Meeting scheduled as follows:
 
CanSIA Special Meeting and Annual General Meeting of Members
Thursday, November 28, 2019, 2:30 PM to 4:00 PM EST
Osler Conference Centre
100 King Street West, 1 First Canadian Place, 63rd Floor
Toronto, Ontario, Canada
 
For the following purposes:
  • To receive a special resolution with respect to the Canadian Solar Industries Association (CanSIA) and the Canadian Wind Energy Association (CanWEA) amalgamation to form a multi-technology association;
  • To receive the agenda;
  • To receive the minutes of the annual general meeting of members of the Association held on November 14, 2018;
  • To receive the reports of the directors;
  • To receive the financial statements and auditors' report thereon, for the financial year ended June 30, 2019 of the Association;
  • To approve the auditors - Parker Prins Lebano Chartered Accountants Professional Corporation - and authorize the directors to fix the remuneration thereof, and;
  • To transact such further or other business as may properly come before the meeting or any adjournment thereof.
Materials for the Special Meeting and Annual General Meeting will be distributed to the CanSIA member's designated voting delegate on November 7, 2019.
 
As background, the member consultation process with respect to the proposed formation of a new multi-technology industry association (NewOrg), through the amalgamation of CanSIA and CanWEA is now complete. All input received has been reviewed by the CanSIA and CanWEA  boards and a final proposal is being brought forward for a vote by CanSIA members.
 
If this proposal is endorsed by the memberships of the two associations, NewOrg's purposes will be to:
  • Maximize opportunities for solar energy, wind energy and electricity storage to contribute to the deployment of a clean, affordable, safe and reliable electricity system in Canada;
  • Ensure that solar energy, wind energy and electricity storage are able to compete, individually or together, on a level playing field for the opportunity to meet the needs of a clean, affordable, safe and reliable electricity system in Canada; and
  • Demonstrate that different combinations of solar energy, wind energy and electricity storage are a cost-competitive way to provide a clean, affordable, safe and reliable electricity system in Canada.
All CanSIA members in good standing as of September 29, 2019 are now eligible to vote on the amalgamation proposal.
 
The Voting Package will be sent out on November 7, 2019 to the CanSIA member's designated voting delegate as part of the Special Meeting and the Annual General Meeting materials. These materials will include a full overview of the amalgamation proposal and will provide all the information and tools your delegate will require to cast a vote. Proxy and in-person options will be available, and the Voting Package will specify procedures and deadlines associated with each. This is a vitally important proposal and we urge all CanSIA members to make their voice heard.
