Collaboration in Search for Deals

Ask most transaction advisors, "what is one of the biggest challenges they face?" and the response is likely to be around the fact that there is a great deal of un-invested dollars in search of too few quality companies with owners that have realistic expectations about the company's value. A survey of the AM&AA membership in January, 2017 corroborated this issue as 70% walked away from deals during the prior twelve months; 43% of those walked away due to value and/or quality issues, while another 21% reported owner expectations being the driving force in dropped deals. 



The lack of market-ready companies has significant implications for both our industry and our economy. Fewer deals means continuingly increased competition amongst one another, potentially driving multiples higher despite increasing costs of capital. Further, the fate of those businesses that are not market ready may depress our local, regional and broader economies as those owners with no internal transition alternatives are forced to let their employees go and close their doors.  For many reasons, it is in our collective interests to help companies build value and become market-ready.

M&A Integration - The Art & Science of Decision Making

M&A Integration is a very complex activity attributed to multiple functions, personnel, products, geographies, customers, unique nuances and the sheer number of tasks to be executed. Brining all this together requires several decisions to be made in quick order. Decision making is part art and part science, seasoned M&A Integration professionals understand the 4 Vs surrounding good decision making i.e., volume, velocity, value and variety. How, when and where these integration related decisions are made can impact the end state of the integration.

In a recent survey that I conducted, approximately 100 M&A Integration leaders were interviewed , here are some insights from it :
  •  61% believed slow speed or lack of decisions led to not realizing full value from the deal
  • 43% shared concerns about the quality of decision making
  • 34% believed slower speed of decision making impacted synergies
  • 22% understood the differences between executive decisions in steady state operations and an M&A integration environment

Congratulations Perry Campbell 
Tombstones seem a weird thing to celebrate but in the world of mergers & acquisitions a "tombstone" is the formal announcement of a completed transaction appearing in financial publications.  Those announcements are usually then made into Lucite deal mementos that we also call "tombstones".  We give them to buyer, seller and deal advisors once the deal is completed as a remembrance. 
 
As part of celebrating our 15th year with ACT Consultants and Act Capital Advisors, Jenny Olson and I gathered up all our tombstones and spread them out on the conference room table along with some of my awards. It was kind of fun. Here's the money shot:
