Did You File Your Annual Corporate Report?
The deadline for Florida corporations – both for profit and for non-profit – to file their Annual Corporate Report is May 1st. The State begins to administratively dissolve corporations in September if the report has not been filed by the first of September.

Why is it important to file your Corporate Report? Besides complying with State regulations, it protects the corporate entity and those individuals serving it. At one time or another, many Associations are under the mistaken belief that if they do not file a Corporate Report, their Association simply ceases to exist. To one extent, that is true, but regrettably that is an incomplete assumption with serious consequences. Your Association may still have all the responsibilities of operating the Association and properties owned by the Association including maintenance. But what has also been accomplished is that the failure to file has opened up the Board of Directors to personal liability. We have all seen the corporate movie thrillers where the term “piercing the corporate veil” is thrown around a lot. Well, you may have given the opposing side a very large gift because they can now pierce the corporate veil, and instead of having the Association possibly liable for damages in litigation – now individual members of the Board (or the ones listed on the last filed corporate report) could now be personally liable and can be sued individually with no protection.

If you have not yet filed your corporate report, please do so immediately. The State may waive reinstatement fees if you do it quickly. If you would like assistance with this task or have more questions, please call us.

Never Ending Collections Story
Did you feel that rush of wind? We did! Our very last seminar of the year is coming up in October. It seems like only last month we presented our Hollywood Theme Seminars complete the red carpet and stanchions, Walk of Fame, clap board, and Oscar presentations.

Follow the “ Never Ending Collection Story ” with its journey of learning the nuances of collecting assessments. No Association can withstand their owners not paying their assessments. Without income, the Association simply ceases to exist. Our Senior Collections Attorney will take you on a personal journey from prologue to the final chapter. We are proud to present this seminar at our Maitland office, which is available in a live presentation and a webinar.

Each month in our second monthly newsletter, “ C&M Update ,” we will take one question from our readers that they would like to pose to an attorney and feature the answer in that newsletter. This is a great way to have answers to questions that you have been trying to understand as you tackle the role of being a Board Member, Committee Member, or Concerned Resident in an Association or you are a manager managing a community association. You do not have to be a client to submit a question. While we cannot answer very specific questions that may require an attorney looking at your Governing Documents, we can answer more broad questions that may come up relating to Community Associations.

New Laws Now in our Florida Statute Service
The new Statutes are here! The new Statutes are Here! One of the terrific features of our Florida Statute Service is updates of the law every September and January. If you have previously purchased this book, the September updates will be sent to you digitally within the next week! These will keep you current on any changes to those statutes.

If you have not purchased your Florida Statute Book yet, now is the time as it has the latest updates as of September. Each book features a custom handsome forest green binder with gold inlay. Chapters are tabbed and each page has been placed in a sheet protector. The Books include the various Statutes relevant to the particular community type plus a bonus of numerous educational and legal informational articles on the basics of operating your Community Association.

Last Magnificent Board Members Highlights
Whoo Hoo! On Tuesday, September 24 th , we held our final “ The Magnificent Board Members: The 2019 HOA Board Certification Class ” for this year. Our final Board Certification class held in Melbourne was offered via a sold out live audience and simultaneously broadcast via a webinar, offering our online guests the ability to ask questions. Packed to the brim, our attendees enjoyed a buffet of cold shrimp, fruit, cheese and cracker tray, hot teriyaki meatballs, cookies, and beverages. Our Senior Collections Attorney, Alan Schwartzseid, presented the class and stayed after to answer any questions that were not answered in the class. Here are some photos of our last Board Certification Class of 2019!
Our 2020 Seminar season will start up in January with all new topics as well as our Board Certification Classes for HOAs, COA, Co-Ops, and Mobile Home Parks. We will announce the dates of our weekday seminars in our October or November newsletter, “ The Green Marble .”
