President's Message
Hello!

Well, it's been a busy fall so far marked by our chapter's tremendous effort to support the Oregon Food Bank. Along with our partner Holland & Knight, we raised nearly $10,000 in the Oregon Lawyers Against Hunger campaign! 
 
Just two more events remain on 2019 calendar. The first is our chapter's annual meeting at Portland City Grill on November 20 which will include another great interactive employment CLE presented by Elizabeth Falcone of Ogletree Deakins. In addition to the fabulous view, food and drinks; free parking will be available for all attendees. Spots are going fast so be sure to register soon!
 
Our final CLE of the year will be on December 10 at Red Star Tavern featuring Holland & Knight's national Director of Diversity and Inclusion, Yusuf Zakir. Registration will open soon for this CLE, and it will be eligible for the access to justice credits!
 
Speaking of credits, the Oregon State Bar has asked us to share information about the annual Pro Bono Awards taking place this Thursday, October 24. In addition to the awards and social, the OSB is offering three free CLEs earlier that afternoon--including one of particular interest to corporate counsel spotlighting access to justice efforts by the attorneys at companies like HP and NIKE.

On a personal note, this is my last message as Oregon Chapter President. It has been my sincere honor and pleasure to help guide the Chapter for the past two years. My special thanks to Stephanie Shields Calhoon for her inexhaustible energy and to the Board members for their support. We will welcome Elizabeth Schultz as our new Chapter President at our annual meeting on November 20.  
 
I will remain a member of our chapter's Board and look forward to seeing you at our future events!

PREPARE FOR A SMOOTH SALE IN FAST WATERS

The drive for companies to expand, diversify, or consolidate is keeping M&A activity moving along at a fast and steady pace. Of course we need to keep a diligent eye on how the business community reacts to changes in local and global market conditions, but we aren’t currently seeing signs of any significant change in the pace of buy/sell activity. Deals are being entered into and closed quickly to take advantage of continuing favorable opportunities.

In most respects, M&A is as simple or as complex as it has always been. The x-factors for our current environment include ever-evolving regulations, emerging industries, and new generations of customers. What remains the same are the categories buyers will scrutinize when considering a purchase – regardless of the company or industry. It’s important for sellers to be aware of these categories.

2019 OREGON ACC ANNUAL MEETING

TONKON TORP HOSTS M & A PRIMER AT NIKE
Nearly 70 members of the Oregon Chapter of the ACC had the opportunity to once again visit the NIKE World Headquarters on May 30 to learn practical advice about mergers and acquisitions from a panel of attorneys with a wide range of experience. 

Longtime chapter sponsor Tonkon Torp LLP hosted this annual discussion to a nearly full house featuring a distinguished panel of members of the local business, in-house counsel and outside counsel communities. Christopher Croteau, Executive in Residence with Intel Capital's M&A team provided his perspective from the executive side. Doug Lindgren, Senior Attorney with Standard Insurance Company and Stuart Patterson, Associate General Counsel for Supply Chain Operations and Alliances for HP Inc. were on hand to share their experiences as corporate counsel. 
Tonkon Torp partner Sherill Corbett shared her experiences as outside counsel working with in-house lawyers on M&A. The panel was moderated by Tom Palmer, a partner at Tonkon Torp and the firm's former Chair of the Corporate Finance & Transactions practice group for over two decades. 

The panel was billed as a frank discussion about the M & A process and geared primarily to in-house attorneys with limited or no experience in M & A.  Panelists shared both practical tips and war stories (including some near disasters) gleaned from their years of experience. The discussion covered a wide range of topics including intellectual property concerns, geographic and cultural factors, insider trading considerations and restrictions when a private company is purchased by a public company. The panel also shared  when to bring in specialized counsel for key executives as their interests might not align with the company’s interests.
In addition to providing all attendees with CLE credit, this event also provided members with the chance to network over drinks and appetizers before and after the panel discussion at the Tiger Woods Center.  All attendees also received a pass to the NIKE Employee Store. Thank you to all the staff at Tonkon Torp and NIKE for once again providing our chapter members with this tremendous opportunity. We look forward to more events with Tonkon Torp in 2020!
THIRD ANNUAL ACC FAMILY NIGHT AT THE PORTLAND THORNS WITH MARKOWITZ HERBOLD!
On August 17, Markowitz Herbold hosted nearly 50 Oregon ACC members and their families for the third annual ACC Night at the Portland Thorns.

Everyone in attendance at Providence Park was treated to food and beverages while watching the team take on the Washington Spirit from the private Widmer Brothers Southern Front viewing area. 
Attendees got the chance to see several members of this year's FIFA Women's World Cup winning team in action during the match that ended in a 3-1 win for the Thorns.

Thank you so much to Karie Trujillo and all the staff at Markowitz Herbold who make this highly anticipated event so popular each year! We look forward to more events with the firm in the coming year.
OREGON ACC AND HOLLAND & KNIGHT RAISE ALMOST $10,000 FOR OREGON FOOD BANK!
The Oregon Chapter of the ACC partnered with Holland & Knight to raise nearly $10,000 for this year’s Oregon Lawyers Against Hunger (OLAH) campaign to benefit the Oregon Food Bank (OFB).  

Holland & Knight kicked off this year’s campaign at the Multnomah Whiskey Library on September 19 to introduce our partnership and encourage participation in the statewide campaign.  Speakers from OLAH and the OFB were also on hand to describe the impact of contributions on the local community, and the firm generously offered to match donations up to $4,000 from all Oregon Chapter members who donated as part of the team! 

This year's fundraising campaign ran September 23 - October 4 with law firms and legal organizations participating on teams. Out of 26 teams raising money this year, the Oregon ACC/Holland & Knight team came in third overall by raising $9,706 from dozens of chapter members and firm staff.
Holland & Knight has a strong commitment to improving the lives of others through service.  No one exemplified this commitment more than Glenn Winuk, a former Holland & Knight partner and volunteer EMT, who lost his life on 9/11 in the collapse of the World Trade Center.  In Glenn’s honor, the firm created the Holland & Knight Foundation and the 9/11 Day of Service.  This year, the Portland office volunteered at the Oregon Food Bank in addition to starting the joint OLAH campaign with the Oregon Chapter of the ACC.  To date, Holland & Knight employees--with their clients, colleagues, families and friends--have donated over 18,000 days of service to more than 100 nonprofit organizations and schools in communities across the country. 

Thank you to Matt Donohue, Shannon Armstrong and Kimberly Lyons at Holland & Knight for spearheading this tremendous fundraising partnership with the Oregon Chapter.  We look forward to the upcoming CLE on diversity with the firm in December and more great events next year!
