Dear Friends of the BABC, 
 
I love these perfect Fall days, when the air is cold, but the sun is bright. For me, it is definitely the best time of year here in the Bay Area. With a 5yr old, our Halloween preparations started a few weeks ago, and as we all get ready for the candy/spook fest this year, and the excesses of the holidays, we also spare a thought for our BABC sister Chapters and all those on the East coast in the path of Hurricanes Florence and Michael. Today is good day to give those closest to us a big hug. 
 
In addition to counting our blessings this month, our team has once again been extraordinarily busy on your behalf: No rest for the wicked, as they say...
 
On October 3rd we returned to Werqwise for an event we where all looking forward too, Fintech and the Consumer. Over 50 guests joined us to hear from our four panelists from various backgrounds in the financial industry. Their insights, experiences and predictions on Fintech taking place in the financial industry made the event a huge success on the night. Fintech is indeed changing rapidly and it was great to reflect on new working practices and the demands of a highly flexible and diverse workforce. Many thanks to our sponsors of the event RBS and Grant Thornton.   
 
On Tuesday October 9th we saw the ever popular monthly  Young Professionals Happy Hour take place at our event hosts Werqwise. We would like to extend special thanks to our Premier Member  Werqwise, who generously sponsored beer for us on the night and really made us feel at home in their fantastic facility. With this new home for our Happy Hour held on the second Tuesday of each month, we look forward to the ever-growing attendance and take it from me, you do not have to be a "Y" to attend our YP events.
 
The 55th Annual Christmas Luncheon was sold out within a record-breaking one month from launch. We would like to thank everyone who has registered for this year's lunch and we are working hard to ensure that this year's event will be bigger and better than ever. Dear Friends and Members of the BABC,

This month marks the 100th Anniversary of Remembrance Day (Veterans Day for our American friends!) and in thinking about this historic moment it had me considering not only the past and the reasons we mark this occasion, but the future and the foundations that were laid then encouraging us to create and build lasting progress.

First, it's right and proper that we pay our respects to those who laid down their lives fighting at the front lines of World War I, which is the reason for Remembrance Day.

But it's also an opportunity to reflect on what emerged from that: the shared values and democracy that the UK stands for today.

We respect the rule of law for settling disputes. We take seriously our rules-based international system and are proud members of NATO and the United Nations.

We don't hesitate to provide assistance to those who seek refuge within our borders, or for the elderly and less fortunate who need help. We never forget our compassion for those who need it most, and are ardent supporters of women's rights, and the rights of the LGBT communities.

We encourage and promote innovation, research, and the steps necessary to protect our planet against climate change.

I continue to be optimistic about the future and will be taking the opportunity on the 11th of November at Grace Cathedral to mark the 100 years of the armistice, where I will be joined by my German colleague Hans-Ulrich Sudbeck.

In 1918 we may have been on opposite sides, but today we are on the side of progress. We've built bridges and foundations to work together as allies to continue our great progress across numerous common goals. I hope to see many of you there, it's sure to be a moving ceremony.

On September 26th 2018,the BABC teamed up with Premier Members Werqwise who hosted the RBS and Grant Thornton Sponsored, Fintech and The Consumer an event that delved into the latest trends affecting the sector. 
 
Over 50 guests joined us at Werqwise's state of the art co-working space at 149 New Montgomery Street to hear from our four panelists from various backgrounds in the Financial industry. Their insights, experiences and predictions on the Financial Technology industry was the forecast the evening. The panelists brought their experiences from different areas of the industry such as Innovation & Solutions, Legal Practice, Innovative & Disruption start up and a CEO of an industry leading membership body dedicated to the financial sector.

The Chancellor has announced two far reaching changes to the rules on Entrepreneurs' Relief (ER) on share sales which will severely restrict the availability of the relief, if enacted.

The first change means that an investor would now need to hold 5% of the "economic rights" of the investee company to qualify for ER, not simply 5% of the issued ordinary share capital and voting power of the company. The 5% "economic rights" test looks at the rights of all "equity holders" in the company. "Equity holders" include non-bank lenders to the company where the loan contains "non-vanilla" features such as conversion rights, rights to payment in kind or PIK notes and/or a redemption premium well as the holders of preference shares (other than fixed-rate cumulative preference shares). This change would mean that many structures which have been put in place to allow shareholders to qualify for ER may no longer be effective.

Filing obligations mostly depend on formal criteria. Therefore,
even in the case of an unproblematic deal, an obligation to file can
exist and the merger control process can have a significant impact
on the transaction timetable. Failure to obtain approval prior to
closing can lead to severe fines and legal invalidity of the purchase
agreement. The jurisdictional criteria are such that a transaction
may trigger filings in jurisdictions that seem entirely unrelated to
the transaction at hand.
