In Memoriam
2nd Request
Deadline: June 12th
| |
May 19, 2023
Dear New York Metro Club President:
I am writing to request a timely matter. I am currently compiling a list of all our club members who have passed away since 2019. I am hoping that you can provide me with that list of your men’s club member names who died.
The purpose of the list is to honor and remember those who have been a part of the FJMC through your club at the upcoming FJMC Convention. There will be a special Memorial Service at Convention where all those who passed will be mentioned at this service. In addition, these men will be listed in the official Convention Journal. It is important to recognize and pay tribute to those who have contributed to your club's history, legacy and the FJMC.
Please know that the FJMC is approaching this with utmost respect and sensitivity. I assure you that the information you provide will only be used for the purposes of the Memorial Service list.
Please email me at aaltman@fjmc.org with your list by the deadline of June 12th.
If you have any questions or concerns, please do not hesitate to contact me.
Thank you for your time and consideration.
Sincerely,
Aaron Altman
President, New York Metro Region, FJMC

NYS Not-For-Profit Law Change | |
It has come to our attention that recent amendments to the New York Not-For-Profit Corporation Law (which applies to synagogues under the Religious Corporations Law) have extended/included various provisions to apply to “key persons” in addition to officers and directors, and that the New York State Attorney General considers the rabbis of Jewish congregations to be “key persons” within the meaning of that phrase (which is not otherwise defined in the statute). These provisions include NFPCL sections 715-a (requiring a conflicts of interest policy), 715-b (requiring a whistleblower policy and protecting whistleblowers), 716 (prohibiting loans to officers, directors and key persons), 717 (defining the statutory duty to the corporation of officers, directors and key persons), 718 (regarding the duty to disclose the identity of officers, directors and key persons to creditors), 719 (regarding the liability for officers, directors and key persons), 720 (regarding actions against officers, directors or key persons), and 720-a (regarding the liability of officers, directors, trustees and key persons), 722 and 724 (regarding indemnification of officers, directors and key persons). This issue arose when one congregation recently sought approval of the purchase of a rabbinic residence, with the congregation loaning the purchase funds to the rabbi. The Charities Bureau objected, citing the new prohibition on loans to “key persons,” requiring the transaction to be restructured. Our members are advised to consult with their legal counsel as to the effect, if any, that the “key persons” amendments have on each congregation, limiting contractual flexibility, requiring the revision of conflict of interest and whistleblower policies, etc. For further information, please contact the undersigned.
