President's Message
by Tara Weilbacher President 2016-2017
Normally this is the President's goodbye and thank you message, since the end of my term is next month. And while it has been incredibly rewarding and worthwhile to serve on the ACC Dallas-Fort Worth board as president, my thoughts at this time are focused on our neighbors to the south. As a mother and wife (and previous resident of Houston), the destruction and loss of life from Hurricane Harvey has been heartbreaking.  Most, if not all of us, know someone or have family and friends that have been impacted by the hurricane.  The unbelievable devastation is historic and continues to unfold.

By now we have all seen and heard countless stories of heroism - acts of courage, compassion, and kindness that are bringing humanity together.  It is incredibly heartwarming and inspiring to see people coming together to rescue strangers from their flooded homes and cars. I encourage each of you to participate in the hurricane relief efforts, either by volunteering your time, donating goods/clothing, or giving to one of the many charitable relief organizations.  I am honored and proud to call TEXAS my home.  Praying for all of the victims, first responders, and selfless people who are helping others!

My very best to everyone - especially those suffering right now.
Tara

The Texas Lawbook & ACC Dallas-Fort Wo rth
E xp and and Recognize Law Firms

By Mark Curriden
The Dallas -Fort Worth Outstanding Corporate Counsel Awards are getting a makeover to be more substantive and more inclusive, including honoring the successful team work between corporate legal de partments and their outside law firms.

Th e Asso ciation of Corporate Counsel's Dallas/Fort Worth Chapter and The Texas Lawbookunveiled the official categories Monday that the two organizations will honor at the 2017 Outstanding Corporate Counsel Awards ceremony in January at the Bush Institute.

The new ACC and Texas Lawbook awards do three things:
  • They put more focus on the great work being performed by corporate legal departments;
  • They celebrate the amazing legal work between corporate general counsel and the outside law firms that work for them; and
  • They seek to be more inclusive of smaller in-house corporate legal operations.
A dozen law firms and professional legal organizations have already signed up to sponsor the Outstanding Corporate Counsel Awards, including Newhouse+Noblin, Bailey Brauer, Greenberg Traurig, Haynes and Boone, Locke Lord, Baker Botts and Winston & Strawn.

"There are still a handful of sponsorship opportunities available," says Texas Lawbook Deputy Publisher Brooks Igo. "These sponsors will have direct involvement in the Outstanding Corporate Counsel Awards with ACC members and will play a prominent role in the event."

Here are the new award categories:

Lifetime Achievement Award recognizes a current or retired General Counsel or Asst. GC for their decades-long commitment to the legal profession and the corporate in-house counsel community.

Corporate M&A Deal of the Year honors a corporate legal department and its outside counsel for successfully guiding a company through a complex merger, acquisition or joint venture.

Assistant/Deputy GC of the Year Award (Large, Medium & Small/Solo Departments) recognizes individual in-house counsel for successes they achieved through their individual efforts and successes.

Community & Public Service Award celebrates an individual corporate in-house counsel for her or his commitment and service to the community, pro bono and public service.

Business Litigation of the Year Award honors a corporate legal department and its outside counsel for extraordinary success in a complex and high stakes litigation or trial.

Corporate Legal Dept. Diversity Award recognizes an individual corporate in-house counsel for her or his commitment and service to diversity initiatives.

Law Firm Diversity Award elevates a law firm for its commitment and service to diversity initiatives.

General Counsel of the Year (Large, Medium & Small/Solo Departments) honors individual General Counsel and Chief Legal Officers for successes they achieved through their individual efforts.

The Texas Lawbook and the Association of Corporate Counsel will send out the official submission form on Oct. 1. Submissions will be accepted during the month of October.

Key Considerations for Growing Your Franchise Abroad

You spend your days working for Burgers & Burgers (or any other company that produces consumer goods and services) and your nights dreaming of taking the Burger & Burgers concept international. The concept is widely successful in the US and you and your teammates think it is time to expand beyond the borders and conquer new lands through franchising abroad. You have evaluated the methods for expansion and have decided the franchise model is best for you. From a legal perspective, here are some important issues that expanding companies are facing whether it is the first time they go international, or whether they are continuing to grow in new markets.

Ethical Issues in E-Discovery

By Kathy Owen Brown
DLA Piper
When the ethics rules were promulgated by American Bar Association and the states, electronically stored information (ESI), electronic discovery (e-discovery), and everything that came along with the "technology age" were likely not contemplated
by the drafters. However, even though these things may not
have been contemplated, the ethics rules can be land mines
for attorneys when venturing into the world of e-discovery
and technology if they are not prepared. The rules require cooperation, competence, confidentiality, candor, and diligence. Social networking has also opened up a new set of potential ethical issues for attorneys. Attorneys must keep their ethical obligations in mind when dealing with the technological advances in our modern age.

Bitcoin Basics

Chances are that if you work in the legal or financial sectors, you have probably heard of bitcoin - at least bitcoin as a currency. Unfortunately, most of us know very little about the bitcoin technology, why it's used or how the technology works. The conversations about bitcoin that we do have tend to focus on the sensational: wild price volatility, fraudulent investment schemes or the infamous Silk Road case.

Expert Insights - M&A Transactions in the Oil and Gas Industry

What Does the Current Market Look Like in Your Industry?
The domestic oil and gas industry continues to face headwinds. Oil and gas acquisitions in the United States increased moderately  in the first half of 2016, though not to the extent expected after a historically challenging 2015. However, the third quarter of 2016  exhibited strong growth in the number of oil and gas acquisitions buoyed by numerous upstream deals in the Permian basin according
to a report from industry advisory firm PLS Inc.

Imagine your Texas-based company is sued in California by a New York resident claiming millions of dollars in damages.  You learn that California is plaintiff-friendly and its procedural rules and practice often result in protracted and expensive litigation.  Recognizing the inherent inconvenience associated with this new lawsuit, your CEO instructs you to provide guidance on strategy and next steps, including any dismissal options.  What is your response?
