Have You Done a Legal Checkup for Your Business?

Florida's New LLC Act Now In Effect 

 

If you have a Florida Limited Liability Company, plan to start one or do business with one, the Florida Revised Limited Liability Company Act may affect you.  The Revised Act became effective January 1, 2014, and applies to all LLCs started after that date.  It will apply to all previously formed LLCs beginning in 2015 to allow them to review their existing operating agreements for compliance. Among the changes:  creditors may now be able to enforce members' obligations to make capital contributions to an LLC; all members of an LLC automatically have a duty not to compete with the company unless it is waived through the LLC's operating agreement.  Contact Eric Parzianello with any questions on how the Revised Act may affect you.

Will Obamacare Affect Divorce Judgments?

With the passage of the Affordable Care Act, health care costs are destined to rise significantly; indeed, for individual plans, premium costs may double.  Divorced spouses under the ACA will have the option to p
urchase an individual plan through the health insurance exchange or even to remain uninsured and pay the resulting penalty. 

In Michigan, many Uniform Child Support Orders and Judgments of Divorce or Custody contain a provision stating that one parent will provide health insurance for any minor children at a "reasonable" cost.  A question for the Michigan Courts and Friends of the Court is whether dramatic increases in premiums will lead to a different division of health care costs between those subject to divorce judgments.
