COALITION COMMENTARY
 
The big boys and gals with auction eligible stations, but do not want to enter the auction, or may lose in the auction, are very worried that there will not be enough in the $1.75 billion relocation fund coming out of the incentive auction proceeds.  The analysis the Coalition has done shows that if a lot of broadcasters actually enter the auction and sell, that there could be a huge surplus of funds which could then be used for translators and eventually LPTV.  But we trust that NAB has done a lot more than a back of the napkin analysis like we have.  So we urge and support NAB and the PBS affiliates to ask Congress to open up the Incentive Auction door.  We promise each and every one of you that if that door gets ajar at all, LPTV interests will push our way through it and make our case for our own relocation funding, flexible use authority, a new Class-A window, and even auction eligibility!

SINCLAIR'S "ONE MEDIA" ATSC 3.0 VENTURE GOES TO CHINA FOR KEY INNOVATION PARTNERSHIP - NEW GLOBAL "GRAND ALLIANCE" IS BEING FORMED TO QUICKLY PUT FORWARD A NEXT-GEN CANDIDATE STANDARD
Now who would have thought that one of the most conservative of American broadcasting interests would team up with the Chinese to make the "Great Leap Forward" to ATSC 3.0.  But this is how a "global standard" is mashed-up in the early 21st century.  The Coalition cheers the process on so that a "physical-transport-layer" candidate can be offered to the FCC before the auction. For LPTV this could mean being able to repack with an OFDM-based interference mask, and heck, a lot more of us in the congested major urban markets might find channels.

ONE Media - a joint venture of Sinclair Broadcast Group and Coherent Logix - and China's National Engineering Research Center of Digital Television, have agreed to pool technology over the key signaling component of the transmission standard or "physical layer." According to a source close to the committee, ATSC has accepted the ONE Media/NERC technology, which is currently under final ATSC review."

Gray Television Prices 

Public Offering of Common Stock


ATLANTA - March 25, 2015 /PRNewswire/ -- Gray Television, Inc. ("Gray," "we," "us," "our" or the "Company") (NYSE: GTN and GTN.A) announced today that it has priced its previously announced underwritten public offering of 12 million shares of its common stock at a price to the public of $13.00 per share. Gray has also granted the underwriters a 30-day option to purchase up to an additional 1.8 million shares of common stock. The offering is expected to close on March 31, 2015, subject to the satisfaction of customary closing conditions.


The gross proceeds from the offering are approximately $156.0 million before deducting underwriting discounts and commissions and estimated offering expenses (or approximately $179.4 million if the underwriters exercise their option to purchase additional shares of common stock in full). We intend to place the net proceeds (after deducting underwriting discounts and commissions and estimated offering expenses) from the offering in our corporate treasury for general corporate purposes, and such net proceeds may be used from time to time for, among other things, repayment of outstanding debt, capital expenditures, the financing of possible future business expansions and acquisitions, increasing our working capital and the financing of ongoing operating expenses and overhead.


Wells Fargo Securities is acting as the bookrunning manager and representative of the underwriters for the offering. RBC Capital Markets is also acting as a bookrunner. Barrington Research and Sidoti & Company, LLC are acting as co-managers for the offering.

" Comcast EVP David Cohen says the bigger-than-expected results of the FCC's AWS spectrum auction has NBCU - among many other broadcasters - considering participating in the upcoming incentive auction. However, that interest might be mitigated by uncertainty over how much spectrum will be needed to make a strong push to mobile devices."
